Paris, May 14, 2009 – The ordinary and extraordinary Annual General Meeting of shareholders of JCDecaux SA (Euronext Paris: DEC) was convened on May 13, 2009.
A new independent member of the Supervisory Board was appointed during this meeting: Pierre Mutz, a former state representative.
Pierre Mutz (66), a graduate of the special Saint-Cyr Military Academy, was Préfet (State representative) of the Ile de France region and Préfet of Paris from May 2007 to October 2008. Between 1996 to 2007, he served as Préfet of the Essonne region, Préfet of the Limousin region, Préfet of the Haute-Vienneregion, Director-General of the Gendarmerie Nationale and Préfet of Police (Chief of the Paris Police). An officer on active duty in the French army from 1963 to 1980, Pierre Mutz then left the armed forces to join the Prefectural Corps in which he held various positions from 1980 to 1996.
Jean-Claude Decaux, the founder of JCDecaux and Chairman of the company’s Supervisory Board, made the following comment: “We are extremely honoured that Prefect Pierre Mutz agreed to join our Board. He will bring his valuable expertise to help ensure that all the tasks entrusted to the Supervisory Board are brought to a successful conclusion.”
The General Meeting also renewed, for a period of 3 years, the terms of all the members of the Supervisory Board: Jean-Claude Decaux, Jean-Pierre Decaux, Pierre-Alain Pariente and Xavier de Sarrau.
At the end of this Meeting, the Supervisory Board appointed Jean-François Decaux Chairman of the Executive Board and Jean-Charles Decaux Chief Executive Officer of JCDecaux SA.
Jean-Charles Decaux and Jean-François Decaux both use the title of “co-CEO of JCDecaux” in pursuit of their commercial and public representation responsibilities.
