The Annual General Meeting of JCDecaux SA (JCDecaux, Paris: DEC) was held on 14 May 2003.
At the meeting shareholders approved the appointment of two new independent members of the Supervisory Board, Professor and Honorary Dr. Lothar Späth and Mr. Xavier de Sarrau. The re-election of all of the members of the Supervisory Board, Jean-Claude Decaux, Christian Blanc, Jean-Pierre Decaux and Pierre-Alain Pariente, for three years was also approved.
Jean-Claude Decaux, Founder and Chairman of the Supervisory Board of JCDecaux said: « We are honoured that Professor Lothar Späth and Mr Xavier de Sarrau have agreed to join our Board. They bring with them a wealth of experience that will be invaluable to the continued development of our global operations and will further strengthen the Supervisory Board.»
At the end of the meeting, the Supervisory Board re-elected the members of the Executive Board for three years. Mr Jean-François Decaux was appointed Chairman of the Executive Board and Mr Jean-Charles Decaux was appointed Chief Executive. Mr Jean-François Decaux and Mr Jean-Charles Decaux, as co-CEO’s, alternate as Chairman of the Executive Board on an annual basis.
Professor Lothar Späth (65) is Vice-President of Merrill Lynch Europe, where he is responsible for Germany. He is also Chairman of the Supervisory Board of Jenoptik AG until the end of June 2003. From 1978 to 1991, he was Präsident Minister of the State of Baden-Württemberg the capital of which is Stuttgart.
Mr Xavier de Sarrau(52) Barrister, Doctor of Tax Law and a graduate of the HEC, was previously President of the Andersen Group for Europe, Africa and the Middle East, then world support operations manager for the same Group. He has been a member of the National Bar Council and is a Chevalier de la Légion d’Honneur.
